POST REGISTRATION PROCEDURES
I. Procedure for making a seal
1. The office at which the enterprise registers that it is making a seal
- Enterprises, bodies, organizations which manufacture or do business in Hung Yen are obliged to carry out the procedure for making a seal at the Hung Yen police office.
2. Order and procedures for the application for making a seal and seal sample registration:
Step 1: Enterprises shall submit an application file for making a seal to Hung Yen police office to obtain a license for making a seal and be introduced to seal making services in accordance with the law.
Step 2: The police office shall issue a seal making license within seven working days from the date of receipt of a complete and proper file. After receipt of the seal making certificate the enterprise shall have the right to make seal.
Step 3: After making a seal the enterprise shall register the seal sample at Hung Yen police office and provide notice of the seal sample to related offices to be issued with a seal sample registration certificate.
3. File for making a seal:
Enterprises, bodies and organizations shall prepare an application file for making a seal with the following:
- Notarized copy of the Business Registration Certificate or Operation Registration Certificate, investment certificate, certificate for establishing a branch and/or representative office in Vietnam;
- Delegation papers and people’s identity card or passport of person submitting the file.
Note: After submitting the application file for making a seal the enterprise shall show the original copy of the Business Registration Certificate.
4. The official fee for the issuance of a seal sample registration certificate: VND20,000/certificate/seal.
Note: The enterprise shall re-make the seal if it changes the contents during the duration of operations.

III. Announcement of the business registration
Within thirty days from the date of receiving the Business Registration Certificate, the enterprise must publish the following in the website of the Business Registration Office or in three consecutive issues of a newspaper or electronic newspaper:
- Name of enterprise;
- Address of head office, branch, representative office (if any);
- Registered business lines;
- Charter capital with respect to the limited liability company, partnership; numbers of shares and value of paid up shares, number of authorized shares with respect to a joint stock company; registered initial capital with respect to a private company; legal capital with respect to the company carrying out business activities required and legal capital as stipulated by the laws;
- Full name, address, nationality, People’s Identity Card number, passport or other personal identification, establishment decision number or the number of the business registration of the owner, members or founding shareholders.
- Full name, resident address, nationality, People’s Identity Card number, passport or other personal identification of the legal representative of the enterprise.
- Location of business registration.
The enterprise must publish any changes to its business items in compliance with the time limit and method as stipulated above.
IV. Opening a bank account
Enterprises may open an account at any bank. The file for opening an account shall conform to the regulations of the bank.
V. Announcement of the time the enterprise head office begins operations
The enterprise must announce the time at which it begins head office operations at Business Registration Office (Business Registration Office within the Department of Planning and Investment in the case of domestic enterprise or the Department of Planning and Investment or the Management Board of industrial areas in the case of an enterprise with foreign capital) within fifteen days from the date the Business Registration Certificate or Investment Certificate is issued.
VI. Announcement of the progress of capital contributions and authorized representatives
1. Limited liability company with two or more members
The legal representative of the limited liability company with two or more members is obligated to report the progress of capital contributions in writing to the Business Registration Office in the case of domestic enterprise, the Department of Planning and Investment or the Management Board of the industrial zone in the case of an enterprise with foreign capital within 15 days from the date the capital contribution is committed. The legal representative is individually liable for any damage caused to the enterprise or third parties as a result of his/her delay in reporting or because the report is incomplete, inaccurate or dishonest.
The authorization of the representative must be in writing and the company and the Business Registration Office must be notified within seven working days from the date of the authorization. The notification must contain the following:
- Name, address of the head office, nationality, number and date of establishment or registration;
- Capital contribution, number and date of issue of the certificate of capital contribution;
- Full name, resident address, nationality, Identity Card number, passport or other personal certificate of the authorized representative;
- Duration of authorization;
- Full name, signature of the legal representative of member and the authorized representative of member.
A replacement of the authorized representative is required to notify both the company and the Business Registration Office within seven days from the date of authorization and is valid from the date the notification is received by the company.
2. Joint stock company
The company must inform the Business Registration Office about the progress of share payments within 90 days from the date Business Registration Certificate of issued. The notice shall contain the following contents:
- Name, address of the head office, number and issue date of the Business Registration Certificate and the place of business registration;
- Total number of authorized shares and number of subscribed shares of the founding shareholders;
- Full name, resident address, nationality, Identity Card number, passport or other identification of the individual founding shareholders; full name, address, nationality, establishment decision number, Business Registration Certificate of the institutional founding shareholders; number of subscribed shares; number and value of paid-up shares, type of assets used to make share payment of each founding shareholder;
- Total number and value of paid-up shares of the founding shareholders;
- Full name and signature of the legal representative of the company.
The legal representative of the company is individually liable for any damage caused to the enterprise or third parties as a result of his/her delay in reporting or submitting an incomplete, inaccurate or dishonest report.
